MSA (Master Services Agreement)

The Master Services Agreement is the standing contract that governs an entire client relationship. Signed once, it holds the terms lawyers care about most — liability, who owns the work, confidentiality, and how either side can exit — and it sits above every project that follows. One MSA can cover many Statements of Work. When an enterprise legal team sends an MSA before any project starts, that is not a delay tactic: it sets up the relationship so future work needs only a short SOW rather than a fresh contract each time, which is exactly how a one-off build becomes a retainer without renegotiating everything.
